Zgłoszenie kandydatury do Rady Nadzorczej.

Zarząd Vivid Games S.A. (dalej jako: "Spółka", "Emitent") informuje, że w związku z ogłoszeniem o zwołaniu na dzień 25 czerwca 2024 r., ZWZA Spółki, w porządku obrad którego znajduje się punkt dotyczący wyboru nowego członka Rady Nadzorczej, otrzymał zgłoszenie kandydatury do Rady Nadzorczej od Pani Anny Podkowińskiej - Tretyn.
Pani Anna Podkowińska-Tretyn została powołana w drodze kooptacji na Członkinię Rady Nadzorczej, o czym Spółka informowała raportem bieżącym ESPI nr 10/2024. Zgodnie z § 12 ust. 4 Statutu Spółki, Pani Anna Podkowińska-Tretyn będzie sprawowała czynności Członkini Rady Nadzorczej do czasu dokonania wyboru Członkini/Członka Rady Nadzorczej przez najbliższe Walne Zgromadzenie Akcjonariuszy Spółki.
W związku ze zgłoszeniem kandydatury, Walne Zgromadzenie Akcjonariuszy będzie głosowało nad powołaniem pani Podkowińskiej-Tretyn do Rady Nadzorczje Spółki na 5-letnią kadencję.
W załączeniu do niniejszego raportu Emitent przekazuje oświadczenie kandydatki o wyrażeniu zgody na kandydowanie. Poniżej Emitent przekazuje życiorys zawodowy kandydatki. Jednocześnie Emitent informuje, że kandydatka złożyła oświadczenie o spełnianiu kryteriów niezależności.
Pani Anna Podkowińska-Tretyn jest niezależną Członkinią Rady Nadzorczej Vivid Games S.A. oraz Przewodnicząca Rady Nadzorczej Mindgram, była Członkinią Rad Nadzorczych IAB Polska oraz Online Technologies. Jest doświadczoną liderką biznesu, pasjonatką ludzi i rozwoju biznesu z 20-letnim doświadczeniem w budowaniu i zarządzaniu organizacjami z sektora mediów, e-commerce i nowych technologii.
Obecnie pełni też funkcję Country Director Too Good Too Go, wcześniej Chief Business International Officer Everly. Poprzednio odpowiedzialna za transformację cyfrową oraz M&A Burda International w Polsce i Czechach jako Chief Digital Officer. Wcześniej zajmowała stanowisko online Chief Commercial Officer w Agora S.A. oraz Prezeski Zarządu Trader.com Poland. Została wyróżniona w raporcie „Strong Woman in IT 2023. Global Edition Repor) oraz raporcie Sifted "200+ female angel investors in Europe 2023"
Aktywnie angażuje się w wiele inicjatyw na rzecz kobiet i wspiera organizacje takie jak Vital Voices, Klub Przedsiębiorczych Kobiet i wiele innych. Pełni także rolę mentorki w wielu projektach i konkursach start-upów, zwłaszcza w programach wspierających kobiety.
Jest absolwentką SGH, Executive MBA University of Illinois Urbana-Champaign oraz Advanced Management Program IESE Business School, Barcelona.

The Management Board of Vivid Games S.A. (from now on: “the Company”, “the Issuer”) informs that in connection with the announcement of the convening of the Company's AGM for June 25, 2024, the agenda of which includes an item on the election of a new member of the Supervisory Board, it has received from Ms. Anna Podkowińska-Tretyn a submission of her candidacy to the Supervisory Board.
Ms. Anna Podkowińska-Tretyn was appointed by way of co-option as a Member of the Supervisory Board, which the Company announced in the current report ESPI No. 10/2024. Following § 12(4) of the Company's Statute, Ms. Anna Podkowińska-Tretyn will serve as a Member of the Supervisory Board until the next General Meeting of Shareholders of the Company elects a Member of the Supervisory Board.
In connection with the submission of candidacy to the Supervisory Board, the General Meeting will vote on the appointment of Ms. Anna Podkowińska-Tretyn to the Supervisory Board of the Company for a 5-year term.

Ms. Anna Podkowińska-Tretyn is an independent Member of the Supervisory Board of Vivid Games S.A. Chairman of the Supervisory Board of Mindgram, and a former Member of the Supervisory Boards of IAB Polska and Online Technologies. She is an experienced business leader, passionate about people and business development with 20 years of experience building and managing organizations in the media, e-commerce, and new technology sectors.
She also currently serves as Country Director of Too Good Too Go, previously Chief Business International Officer of Everly. Previously responsible for digital transformation and M&A of Burda International in Poland and the Czech Republic as Chief Digital Officer. Before that, she was the online Chief Commercial Officer at Agora S.A. and CEO of Trader.com Poland. She was recognized in the report “Strong Woman in IT 2023. Global Edition Report) and the Sifted report ‘200+ female angel investors in Europe 2023’.
She is actively involved in many women's initiatives and supports organizations such as Vital Voices, the Entrepreneurial Women's Club, and many others. She also serves as a mentor in many start-up projects and competitions, especially in programs supporting women.
She is a graduate of the Warsaw School of Economics (SGH), the Executive MBA of the University of Illinois Urbana-Champaign, and the Advanced Management Program of IESE Business School, Barcelona.
